A major component of the Firm's practice is commercial litigation. We practice in a variety of forums from Federal and state courts to regulatory agencies and arbitration tribunals. We are particularly active in:

Complex commercial litigation, including disputes relating to corporate ownership and governance (with a particular emphasis on closely held or family-owned businesses, and professional partnerships), shareholder agreements, management agreements, real estate development agreements, financing agreements, contracts of sale, franchisee-franchiser agreements, joint ventures, trademark and copyright, entertainment and sports management contracts.

Real estate litigation on behalf of our major commercial and residential real estate owners and property managers, including contract and lease enforcement disputes, foreclosures, title disputes and all landlord-tenant matters.

Corporate Law

In the Firm’s corporate practice, we counsel entrepreneurs and executives at all stages of corporate development, beginning with selecting the appropriate type of entity: C corporation, S corporation, limited liability company, partnership or limited partnership. We represent business in many industries in connection with all types of commercial contracts, such as management agreements, license agreements, employment agreements, consulting agreements, distribution agreements, joint venture agreements and merger, stock purchase and asset purchase agreements, real estate contracts, leases, cooperative and condominium offering plans.

Criminal Law

The Firm represents witnesses, subjects and targets in state and Federal criminal investigations, and also defends at trial individuals and entities accused of criminal conduct. The Firm has represented clients involved in investigations into white color crimes such as perjury, grand larceny, RICO and obstruction of justice, Medicare and Medicaid fraud.

Real Estate

The Firm represents a wide range of clients in the acquisition, development and sale of both commercial and residential properties, including office towers, retail stores and shopping centers, as well as condominium and cooperative offerings, filings and conversions. The Firm counsels entrepreneurs and institutions in all aspects of real estate finance, mortgage foreclosures; leasing and subleasing of office, retail and other commercial space, property management; and brokerage and subdivision applications.

Matrimonial Law

The Firm offers services in the full range of issues arising from marital dissolutions, including complex property, asset and support disputes and child custody matters. The Firm also handles prenuptial, post-nuptial, and separation agreements.

Entertainment Law

The Firm conducts a general business practice for clients engaged in all areas of entertainment, communications, new media, high-tech and related fields, including motion pictures, television, Internet, merchandising, licensing, technology, book and e-book publishing music, stage productions, interactive games and entertainment and communication systems.

Intellectual Property

The Firm prepares and negotiates technology transfer, nondisclosure and confidentiality agreements. We counsel clients on compliance with advertising, labeling and related laws and regulations and draft the necessary agreements.

Trusts and Estates

The Firm offers individuals a full range of sophisticated estate planning and administration services, including drafting of wills, trusts, and marital agreements, probate and estate settlement services. We provide counsel on the choice of business structure, methods of transfer to family members, and integration with an overall estate plan.
